These Terms of Service (the “Terms”) govern your access to and use of the website located at https://www.360epi.com (the “Site”), which is owned and operated by 360 Estate Planning, Inc., a California corporation doing business as Johnson Law & Tax (“360EPI,” “we,” “us,” or “our”). By accessing or using the Site, requesting information through the Site, or opting into communications from us, you (“you” or “User”) agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

PLEASE READ THESE TERMS CAREFULLY. These Terms contain important information, including disclaimers of legal, tax, and financial advice, limitations of liability, and dispute resolution provisions that affect your legal rights.

1. Who We Are

360 Estate Planning, Inc. is a California professional services company operating under the trade name Johnson Law & Tax. The Site provides general information about estate planning, trust administration, tax preparation and planning, conservatorships, and related professional services offered through 360EPI and its affiliated practices.

Our principal office is located at 1255 Treat Boulevard, Suite 300, Walnut Creek, California 94597. You can reach us by telephone at (925) 289-8837 or by facsimile at (925) 215-4916.

Investment advisory services referenced on the Site are offered exclusively through 361 Financial Planning, Inc., a California-registered investment adviser (CRD No. 283581) and a separate legal entity from 360EPI. Nothing on the Site constitutes investment advice or an offer or solicitation to buy or sell any security. Investment advisory services are governed by a separate written advisory agreement between you and 361 Financial Planning, Inc.

2. No Attorney-Client, Tax Adviser, or Other Professional Relationship

Use of the Site does not create an attorney-client relationship, an accountant- or tax-preparer-client relationship, an investment adviser-client relationship, or any other professional or fiduciary relationship between you and 360EPI, Johnson Law & Tax, 361 Financial Planning, Inc., or any of their respective principals, employees, or affiliates.

All content on the Site, including articles, blog posts, downloadable resources, videos, calculators, and answers to frequently asked questions, is provided for general informational purposes only. It is not legal advice, tax advice, investment advice, insurance advice, or any other form of professional advice, and it should not be relied upon as a substitute for advice from a qualified professional licensed in your jurisdiction. Laws and tax rules vary by state and change over time. Your individual circumstances matter.

An attorney-client relationship with Johnson Law & Tax is formed only upon execution of a written engagement agreement signed by both you and Martin C. Johnson (or another attorney of the firm) and only with respect to the specific scope of representation described in that agreement. An accountant-client or tax-preparer-client relationship is formed only upon execution of a written tax engagement letter. Submitting a contact form, requesting a consultation, attending a free consultation, or otherwise communicating with us through the Site does not, by itself, create any such relationship.

Do not send confidential or time-sensitive information through the Site, by email, or by text message until a written engagement has been signed. Communications submitted before an engagement is in place may not be treated as privileged or confidential.

3. No Guarantee of Results

Estate planning, tax, conservatorship, and litigation outcomes depend on facts, evidence, law, judicial discretion, opposing parties, and other factors outside our control. Any case results, testimonials, or examples described on the Site are illustrative only and do not constitute a guarantee, warranty, or prediction regarding the outcome of any matter. Past performance is not indicative of future results.

4. Eligibility

The Site is intended for adults eighteen (18) years of age or older who can form legally binding contracts under applicable law. By using the Site, you represent and warrant that you meet these requirements. The Site is directed to residents of California and selected other jurisdictions in which we are licensed to practice. We make no representation that the Site is appropriate or available for use in any other jurisdiction.

5. Permitted Use and Restrictions

You may access and use the Site for your personal, non-commercial informational purposes and to communicate with us about potential engagement of our services. You agree not to:

  • Use the Site in any manner that violates applicable federal, state, or local law or regulation;
  • Use the Site to transmit unsolicited commercial communications, malware, or harmful code;
  • Attempt to gain unauthorized access to the Site, its servers, or any related systems or networks;
  • Use any robot, scraper, or automated means to access, harvest data from, or interact with the Site, except for publicly available search-engine indexing;
  • Reverse engineer, decompile, or attempt to extract the source code of any software made available through the Site;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity; or
  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with another party’s use of the Site.

6. Intellectual Property

All content on the Site, including text, graphics, logos, images, video, audio, downloads, and software, is the property of 360 Estate Planning, Inc., its licensors, or its affiliates and is protected by United States and international copyright, trademark, and other intellectual property laws. “Johnson Law & Tax,” “360 Estate Planning,” “360EPI,” and associated logos are trademarks of 360 Estate Planning, Inc.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to view and download Site content for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or sell any Site content without our prior written consent. All rights not expressly granted are reserved.

7. Third-Party Links and Resources

The Site may contain links to third-party websites, services, or resources. We provide such links for convenience only and do not endorse, control, or assume responsibility for the content, accuracy, privacy practices, or operations of any third-party site or service. Your use of any third-party site is subject to its own terms and policies.

8. Privacy Policy

Our collection, use, and disclosure of personal information through the Site is governed by our Privacy Policy, available at https://www.360epi.com/privacy-policy/, which is incorporated into these Terms by reference. The Privacy Policy describes your rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the “CCPA”), including the right to know, the right to delete, the right to correct, and the right to opt out of the sale or sharing of personal information.

9. SMS Terms of Service

By providing your mobile telephone number to 360 Estate Planning, Inc. through a web form, intake document, engagement letter, or other medium, and by checking the SMS opt-in box or otherwise expressly agreeing to receive text messages from us, you are providing your prior express written consent to receive SMS and MMS text messages from 360 Estate Planning, Inc. (“360EPI”) at the mobile number provided.

9.1 Types of Messages

The categories of messages you may receive include:

  • Conversational messages between you and an employee or agent of 360EPI regarding your inquiry, consultation, engagement, or matter (“external conversations”);
  • Internal coordination messages between employees, agents, or contractors of 360EPI that may reference your matter (“internal conversations”);
  • Appointment reminders, document-status updates, scheduling messages, and signing-coordination messages;
  • Service-related notices regarding your engagement, file, or account; and
  • Occasional informational updates regarding our practice, when expressly authorized by you.

We do not sell, rent, or share your mobile number or SMS opt-in data with third parties or affiliates for marketing purposes. Mobile information will not be shared with third parties for marketing or promotional purposes.

9.2 Frequency, Cost, and Carriers

Message frequency varies based on the nature of your matter and your communications with us. Message and data rates may apply, depending on your mobile carrier and plan. 360EPI is not responsible for any carrier charges incurred as a result of receiving SMS messages from us. Carriers are not liable for delayed or undelivered messages.

9.3 Help and Opt-Out

Reply HELP to any message from us for assistance, or contact us at (925) 289-8837. Reply STOP to any message from us to opt out of further SMS messages. After you send STOP, we will send a one-time confirmation message and will not send you any further SMS messages unless you opt in again. You may continue to receive non-SMS communications from us, such as email or telephone calls, that are necessary to your engagement.

9.4 Confidentiality and Limitations of SMS

Standard SMS and MMS messages are not encrypted end-to-end and may be stored, transmitted, or backed up by third-party carriers and device manufacturers. You should not transmit highly sensitive information (including Social Security numbers, financial account numbers, or detailed medical information) by text message. Communications by text message regarding pre-engagement inquiries are not protected by the attorney-client privilege. Once a written engagement is in place, communications by text message may be treated as client communications, but you acknowledge the inherent limitations of the medium and consent to its use.

9.5 Privacy Policy

Our use of SMS data is governed by our Privacy Policy at https://www.360epi.com/privacy-policy/.

9.6 Required Notice

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from 360 Estate Planning, Inc. This includes SMS messages for conversations (external) and conversations (between employees). Message frequency varies. Message and data rates may apply. See privacy policy at https://www.360epi.com/privacy-policy/. Message HELP for help. Reply STOP to any message to opt out.

10. Email and Electronic Communications

When you provide your email address or contact us through the Site, you consent to receive electronic communications from 360EPI relating to your inquiry, your engagement (if applicable), and our services. These communications may be sent by email, through the Site, or through other electronic means. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

11. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION ACCESSIBLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, 360EPI disclaims all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and completeness.

We do not warrant that the Site will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Site or the server that makes it available are free of viruses or other harmful components. We do not warrant or make any representation regarding the use, or the results of the use, of the Site or any content in terms of correctness, accuracy, reliability, or otherwise.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 360EPI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the Site, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or fraud. These limitations do not apply to, and do not affect, the separate contractual obligations 360EPI owes to its clients under signed engagement agreements or its professional obligations under the California Rules of Professional Conduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless 360 Estate Planning, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Site; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Subject to the dispute resolution provisions below, you and 360EPI agree that the exclusive venue for any action arising out of or relating to these Terms shall be the state and federal courts located in Contra Costa County, California, and you consent to the personal jurisdiction of those courts.

15. Dispute Resolution; Informal Resolution First

Before bringing any formal action, you agree to first attempt to resolve any dispute informally by contacting us in writing at the address above. We will attempt in good faith to resolve the dispute within thirty (30) days of receipt of your written notice. If we are unable to resolve the dispute informally, either party may proceed in accordance with this Section.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally shall be resolved by binding individual arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules, with the arbitration to be held in Contra Costa County, California. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision.

Class Action Waiver. You and 360EPI agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

Nothing in this Section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or confidential information. This arbitration provision does not apply to disputes arising under a separate written legal-services or tax engagement agreement between you and 360EPI, which are governed by the dispute resolution provisions of that agreement and applicable California Rules of Professional Conduct, including Rule 1.8.1 and Business and Professions Code section 6200 et seq. concerning mandatory fee arbitration.

16. Notices

Any notice required or permitted to be given to 360EPI under these Terms must be in writing and delivered to: 360 Estate Planning, Inc., 1255 Treat Boulevard, Suite 300, Walnut Creek, California 94597. We may provide notice to you by email to the address you provide through the Site, by posting on the Site, or by SMS to a mobile number for which you have opted in.

17. Changes to These Terms

We may modify these Terms at any time by posting the revised Terms on the Site and updating the Effective Date above. Material changes will take effect upon posting unless otherwise stated. Your continued use of the Site after the Effective Date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Site.

18. Miscellaneous

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and 360EPI regarding the Site. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent. These Terms do not create any third-party beneficiary rights.
